These Terms and Conditions (“Terms”) govern access to anduse of www.iconbooths.com and related online features provided by Icon Booths,a Missouri business operating under the brand ICON Booths (“ICON,” “we,” “us,”or “our”).

By accessing the website, submitting a form, requestingdigital content, or using an online feature, you agree to these Terms.

Do not use the website if you do not agree.

1. WEBSITE TERMS AND SERVICE AGREEMENTS

These Terms govern use of the ICON website and relateddigital features.

Photo booth rentals, brand activations, venue residencies,custom production, event services, and other paid work are governed by aseparate:

·      Proposal

·      Invoice

·      Statement of work

·      Event services agreement

·      Rental agreement

·      Residency agreement

·      Activation agreement

·      Other written contract

If these Terms conflict with a signed service agreement, thesigned service agreement controls with respect to the contracted services.

Website descriptions, estimated pricing, examples,availability statements, and responses to inquiries do not constitute a bindingoffer.

A date, activation, residency, or project is not confirmeduntil ICON has received any required signed agreement and payment.

2. ELIGIBILITY AND AUTHORITY

You must be at least 18 years old to enter into a contractwith ICON.

If you use the website or submit information on behalf of abusiness, agency, venue, organization, or other entity, you represent that youare authorized to act on its behalf.

3. PERMITTED USE

You may use the website for lawful purposes, including:

·      Learning about ICON services

·      Submitting an inquiry

·      Applying for a venue residency

·      Requesting information

·      Viewing authorized content

·      Accessing a gallery made available to you

You may not:

·      Violate any applicable law

·      Attempt to access an account, gallery, server,or system without authorization

·      Interfere with website security or operation

·      Introduce malware, harmful code, or disruptivetechnology

·      Use automated scraping or extraction toolswithout written permission

·      Copy, sell, reproduce, or commercially exploitwebsite content without authorization

·      Impersonate another person or misrepresent yourauthority

·      Submit false, fraudulent, abusive, infringing,or unlawful material

·      Enter another person’s telephone number or emailaddress without permission

·      Attempt to obtain event content you are notauthorized to access

ICON may restrict or terminate access where we reasonablybelieve these Terms have been violated.

4. INTELLECTUAL PROPERTY

The website and its original content, including ICON’s:

·      Business name

·      Brand names

·      Logos

·      Booth designs

·      Written content

·      Graphics

·      Photographs

·      Videos

·      Layouts

·      Artwork

·      Creative concepts

are owned by or licensed to ICON and are protected byapplicable intellectual-property laws.

Accessing the website does not grant you ownership of or alicense to use ICON intellectual property except for the limited right to viewthe website for its intended purpose.

You may not reproduce, modify, distribute, publish, display,license, sell, or create derivative works from ICON content without writtenpermission.

Third-party names, artwork, logos, and trademarks remain theproperty of their respective owners.

5. MATERIALS SUBMITTED TO ICON

When you provide artwork, logos, photographs, text, files,brand assets, instructions, or other materials, you represent that:

·      You own the materials or have authorization touse them

·      ICON’s authorized use will not violate anotherperson’s rights

·      The materials are accurate and lawful

·      You have obtained any required licenses,permissions, and releases

You grant ICON a limited, nonexclusive license to usesubmitted materials as reasonably necessary to:

·      Evaluate an inquiry

·      Prepare a proposal or design

·      Provide contracted services

·      Produce booth components

·      Create photo strips and digital assets

·      Administer the applicable project or residency

6. PHOTO BOOTH PARTICIPATION

Participation in an ICON photo booth experience isvoluntary.

By starting a photo booth session, a participant authorizesICON to capture and process the resulting photographs, GIFs, or similar mediafor purposes such as:

·      Printing the requested photos

·      Delivering requested digital content

·      Providing gallery access

·      Operating and troubleshooting the booth

·      Fulfilling the applicable event or residencyagreement

Participants are responsible for their conduct and for thecontent they create.

Participants may not create, submit, or display content thatis:

·      Unlawful

·      Threatening

·      Harassing

·      Defamatory

·      Obscene

·      Infringing

·      Abusive

·      Harmful to another person

ICON may decline to display, deliver, retain, or distributecontent that creates a legal, safety, operational, or reputational concern.

ICON’s use of identifiable guest content for its ownadvertising, portfolio, website, or social media will require authorizationunder the applicable agreement, release, event notice, or other validpermission.

7. EVENT GALLERIES AND DIGITAL DELIVERY

Digital delivery and event galleries may depend on:

·      Internet availability

·      Wireless carrier service

·      Third-party platforms

·      Device compatibility

·      Accurate contact information

·      Gallery settings

·      Client instructions

ICON does not guarantee that every message, email, file,gallery, download, or link will be delivered, remain available indefinitely, orfunction on every device.

Recipients are responsible for downloading and preservingcontent before any stated gallery expiration date.

A private or limited-access gallery link should not betreated as completely confidential. Do not share a gallery unless you areauthorized to share its contents.

8. ICON BOOTHS PHOTO DELIVERY SMS/MMS TERMS

Program Name

ICON Booths Photo Delivery

Program Description

The ICON Booths Photo Delivery program allows photo boothguests to request delivery of a photo, GIF, or download link through SMS orMMS.

Guests opt in by entering a mobile telephone number on theICON photo booth touchscreen and selecting Send My Photo after viewing theapplicable disclosure.

Messages may be sent from 314-532-7878 or another numberclearly identified as being used by ICON Booths.

Consent

By entering a mobile telephone number and selecting Send MyPhoto, you consent to receive the requested transactional SMS or MMS messagefrom ICON Booths.

Consent is voluntary and is not a condition of:

·      Purchasing goods or services

·      Booking ICON

·      Entering an event

·      Using the photo booth

·      Receiving printed photos

Message Frequency

Message frequency varies according to the number of requestsmade and is generally one SMS or MMS message for each requested photo delivery.

The ICON Booths Photo Delivery program does not sendrecurring promotional messages.

Message and Data Charges

Message and data rates may apply according to your wirelessservice plan.

STOP and HELP

Reply STOP to opt out of further messages from the sendingnumber.

Reply HELP for assistance.

·      Continued availability of third-party messagingservices

Mobile Information

Mobile telephone numbers, SMS or MMS opt-in data, andmessaging consent records will not be sold, rented, or shared with third partiesor affiliates for marketing or promotional purposes.

Limited mobile information may be processed by serviceproviders solely to transmit, host, secure, or support the requested messagingservice.

Privacy

Information collected through the ICON Booths Photo Deliveryprogram is governed by the ICON Booths Privacy Policy at:

9. THIRD-PARTY SERVICES

The website and ICON services may rely on third-partyproviders for:

·      Website hosting

·      Forms

·      Payments

·      Messaging

·      Galleries

·      Cloud storage

·      Analytics

·      Embedded media

·      Maps

·      Social media

·      Technical services

ICON does not control and is not responsible for theavailability, security, content, products, or privacy practices of third-partyservices.

Your use of a third-party service may also be governed bythat provider’s terms and policies.

10. WEBSITE INFORMATION

ICON makes reasonable efforts to keep website informationaccurate and current.

However, website content may contain errors, outdatedinformation, or omissions.

Services, features, pricing, specifications, geographicavailability, and policies may change without notice.

Portfolio images, renderings, examples, and previousprojects do not guarantee that an identical design, service configuration,result, or venue arrangement will be available for another project.

11. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE ANDWEBSITE-BASED FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

ICON DISCLAIMS EXPRESS AND IMPLIED WARRANTIES, INCLUDINGWARRANTIES OF:

·      MERCHANTABILITY

·      FITNESS FOR A PARTICULAR PURPOSE

·      TITLE

·      NON-INFRINGEMENT

·      ACCURACY

·      AVAILABILITY

·      SECURITY

·      UNINTERRUPTED OPERATION

ICON DOES NOT WARRANT THAT THE WEBSITE, GALLERIES, MESSAGES,DOWNLOADS, DIGITAL DELIVERY, OR THIRD-PARTY SERVICES WILL BE ERROR-FREE,AVAILABLE AT ALL TIMES, SECURE, OR FREE FROM HARMFUL COMPONENTS.

Some jurisdictions do not permit certain warrantylimitations, so portions of this section may not apply to you.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ICON AND ITS OWNERS,EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOTBE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ORPUNITIVE DAMAGES ARISING FROM OR RELATED TO:

·      Website use

·      Website unavailability

·      Digital delivery

·      Delayed or failed messages

·      Lost or unavailable content

·      Event galleries

·      Third-party services

·      These Terms

This includes loss of data, profits, revenue, goodwill,business opportunity, privacy, or use, even if ICON was advised that suchdamages were possible.

For a claim arising solely from use of the website and notgoverned by a separate signed agreement, ICON’s aggregate liability will notexceed the greater of:

·      The amount paid to use the applicable websitefeature

·      One hundred United States dollars

Nothing in these Terms limits liability that cannot legallybe limited.

Liability relating to paid services is governed by theapplicable signed service agreement.

13. INDEMNIFICATION

To the extent permitted by law, you agree to defend,indemnify, and hold harmless ICON and its owners, employees, contractors,affiliates, and service providers from claims, losses, liabilities, damages,expenses, and reasonable legal fees arising from:

·      Your unlawful or unauthorized website use

·      Your breach of these Terms

·      Materials you submit

·      Your violation of another person’s rights

·      Your misuse of event content or galleries

·      False or unauthorized contact informationsubmitted by you

14. SUSPENSION AND TERMINATION

ICON may suspend or terminate access to a website featurewhen reasonably necessary to:

·      Protect website or information security

·      Prevent misuse

·      Enforce these Terms

·      Comply with law

·      Protect ICON or another person

Sections that should reasonably survive termination willremain in effect, including provisions concerning intellectual property,disclaimers, limitations of liability, indemnification, and disputes.

15. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the State ofMissouri, without regard to conflict-of-law rules.

Before filing a legal proceeding related to these Terms, youagree to contact ICON and make a good-faith effort to resolve the matterinformally.

Unless applicable law requires otherwise, legal proceedingsarising solely from these Terms will be brought in a Missouri state or federalcourt with proper jurisdiction.

16. SEVERABILITY

If a provision of these Terms is found invalid orunenforceable, it will be interpreted as closely as legally possible to itsintended purpose.

The remaining provisions will continue in effect.

17. NO WAIVER

ICON’s failure to enforce a provision does not waive theright to enforce it later.

18. ASSIGNMENT

You may not assign your rights or obligations under theseTerms without ICON’s written permission.

ICON may assign these Terms in connection with a merger,reorganization, financing, sale of assets, or transfer of the business.

19. CHANGES TO THESE TERMS

ICON may update these Terms from time to time.

Updated Terms will be posted with a revised effective date.

Continued use of the website after the effective dateconstitutes acceptance of the revised Terms.
